Andrew D. O’Toole represents individuals and businesses in commercial disputes, appeals, government and regulatory enforcement proceedings and internal investigations. He also advises on compliance matters related to state insurance, FINRA and state securities rules and regulations.



Mr. O’Toole has successfully represented individuals and large financial institutions and their employees in state and federal court proceedings and arbitrations.  He has also represented clients in litigations and arbitrations involving a wide range of substantive areas, including joint ventures, trust agreements, federal tax refunds, fraud allegations, ERISA and federal securities laws. He has also advised and represented clients before various federal, state, and regulatory bodies, including the United States Securities and Exchange Commission (SEC), FINRA, the Department of Justice, the Department of Labor, various United States Attorney’s Offices, State Attorneys General, and state insurance and securities divisions.  Mr. O’Toole has also conducted internal investigations for clients.
 

Mr. O’Toole previously served as an Assistant United States Attorney in the Southern District of New York.  During his time with the United States Attorney’s Office, Mr. O’Toole represented the United States and its agencies in all phases of civil litigation, including pre-trial, trial and appeals.  He was responsible for a range of cases involving commercial law, international law, tax, bankruptcy, fair housing, employment law, constitutional law, environmental, bankruptcy and tort law.   Mr. O’Toole has briefed and argued ten appeals before the Court of Appeals for the Second Circuit.  He also led investigations under the federal False Claims Act involving allegations of healthcare fraud and fraud in connection with government contracts.  He has litigated a broad range of tax enforcement matters including enforcement of administrative summons, litigation seeking to reduce assessments to judgment, protection of liens, applications for seizure and foreclosure.

 

Mr. O’Toole served as a law clerk to the Honorable Janet Bond Arterton of the United States District Court for the District of Connecticut.

 

Mr. O’Toole graduated cum laude from Harvard Law School where he was the President of the Harvard Legal Aid Bureau.  Mr. O’Toole is a Phi Beta Kappa, summa cum laude graduate of Columbia University.  Before attending law school, Mr. O’Toole worked in commercial real estate finance and securitization for a Fortune 100 financial institution and the New York City Mayor’s Office of Construction.
